Symphonic Distribution — Terms of Use

These Terms of Use (this “Agreement”) govern your access to and use of any Internet website, web application, dashboard, or mobile application owned and/or operated by Symphonic Distribution, Inc. (“Symphonic,” “we,” “us,” or “our”), including without limitation symphonic.com, connected subdomains, the Symphonic blog, and Symphonic’s web apps and dashboards (collectively, the “Services”).

Certain features, products, or programs (for example: Starter, Partner, publishing/admin services, SplitShare, advances, video distribution, and other add-ons) may have additional terms, rules, or policies (collectively, “Supplemental Terms”). Supplemental Terms are incorporated by reference and will govern to the extent of a conflict with this Agreement. Examples include our Privacy Policy and Trust & Safety page, each incorporated here.

Symphonic is committed to fairness, transparency, and respect for the artists, labels, and partners who use our Services.

PLEASE READ: By accessing or using the Services, you agree to this Agreement (on behalf of yourself or the entity you represent) and to our Privacy Policy. If you do not agree, do not use the Services. You represent that you have authority to bind yourself and, as applicable, your entity, and that you are at least the age of majority in your jurisdiction (and at least 16 if you are in the EEA/UK) and otherwise legally permitted to use the Services.


  1. Accounts & Registration

    1. Registration. Some features require an account. You agree to provide accurate, complete information and to keep it updated. Identity verification may be required before you can submit content or access certain features.

    2. Account Security. You are responsible for all activity under your account and for safeguarding your credentials. Notify us immediately of unauthorized use.

    3. One Account, One Owner. If you open an organization account, one “owner” must be designated. We may request documentation and/or re-verification to change ownership.


  2. Relationship to Separate Commercial Agreements

    1. Not Your Distribution Agreement. These Terms govern your use of the Services (sites, apps, dashboards, knowledge base, etc.). They are not your digital distribution agreement, publishing administration agreement, or any custom commercial agreement. Those separate signed or click-through agreements (each a “Separate Agreement”) control the business relationship, royalties, economics, and service scope. If there is a conflict, the Separate Agreement governs.

    2. Flexibility for Custom Deals. If you have a custom or negotiated Separate Agreement, these Terms still apply to your website/app use, but that Separate Agreement governs your commercial terms.


  3. License & Ownership

    1. Your License to Use the Services. Subject to this Agreement, we grant you a revocable, non-exclusive, non-transferable license to use the Services for their intended purpose.

    2. Our IP. The Services (including text, software, logos, graphics, and other content) are protected by IP laws. Except as expressly permitted, you may not reproduce, modify, distribute, reverse engineer, or create derivative works of the Services.

    3. Your Content (User Content). If you upload or submit content to/through the Services (e.g., text, images, data, feedback), you grant Symphonic a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, perform, and adapt it solely for operating, maintaining, improving, and displaying the Services, and not for independent commercial use. (Client Content distributed under a Separate Agreement is governed by that agreement, not this clause.)

    4. Data Insights (De-identified/Aggregate). We may use information arising from Service use in de-identified and/or aggregated form for analytics, product improvement, and industry reporting, never in a way that identifies you or your content.


  4. Acceptable Use & Trust & Safety.
    We are serious about platform integrity. You must not misuse the Services. Prohibited activities include:

    • IP and Rights Violations. Infringing or violating others’ rights (copyright, trademark, privacy, publicity).

    • Fraud/Manipulation. Any activity that artificially inflates or manipulates performance, traffic, or metrics (e.g., bots, click-farms, spoofing, fake streams/plays/views, or similar manipulative behaviors). These “Improper Activities” are expressly prohibited.

    • Circumventing Platform Rules. Attempting to circumvent platform terms, filters, or enforcement or to bypass store/platform rules (including rules for metadata and artist/track info).

    • Prohibited/Deceptive AI Uses. Using AI in ways prohibited by law or platform terms (e.g., synthetic/fabricated content that violates rights or misleads consumers; undisclosed synthetic content when disclosure is required).

    • Security Interference. Introducing malware, scraping at scale without permission, or interfering with the Services’ operation.

    • Unlawful Uses. Any unlawful, abusive, harassing, hateful, or otherwise objectionable conduct.

    Style/Metadata Quality. When you use our submission tools or metadata fields, you must follow standardized music metadata and asset-quality practices required by digital retailers and platforms (e.g., consistent titles/roles/credits, appropriate casing, art quality/format, no deceptive metadata).

    Trust & Safety Actions. In our discretion, we may investigate and take actions we deem appropriate to protect users, partners, rights holders, and the ecosystem, which may include: cooperation with platforms and/or authorities; rate-limiting; content takedown; feature restrictions; and/or account suspension or termination. We make reasonable efforts to investigate suspected activity and, where possible, will notify affected users before permanent action.

    Identity Verification. To guard against abuse, we may require you to verify identity (or business authority) before certain features are enabled or remain enabled.

  • Program-Specific Terms (Starter, Partner, Web Apps & Add-ons)

    Some features (e.g., Starter self-serve plan; Partner/managed plans; video distribution; SplitShare; advances) live behind account authentication and have Supplemental Terms that govern eligibility, fees, and program rules. Links for context: Starter overview and SplitShare overview. (This section is directional; your binding commercial terms remain in the Separate Agreement or specific program T&Cs.)


  • Privacy; Cookies; Electronic Communications

    Your use of the Services is subject to our Privacy Policy, which explains what we collect, how we use/share it, and your rights and choices. We may communicate with you electronically regarding the Services.


  • Third-Party Links & Services

    The Services may link to third-party sites or integrate third-party services. We don’t control or endorse them and aren’t responsible for their content, policies, or practices. Use them at your own risk.


  • Changes to the Services

    We may change, suspend, or discontinue all or part of the Services at any time. Where feasible, we’ll provide reasonable notice of material changes or discontinuation.


  • Feedback

    If you send us ideas or suggestions, you grant us the right to use them without restriction or compensation. We value user input and may acknowledge or credit feedback contributions where appropriate.


  • Termination

    We may suspend or terminate your access to the Services for cause, including material violations of these Terms. When reasonable, we will attempt to provide prior notice or an opportunity to resolve the issue. You may stop using the Services at any time. Sections intended to survive (including IP, disclaimers, liability limits, arbitration/venue, and enforcement) shall survive termination.


  • DMCA / Copyright Policy

    If you believe material on the Services infringes your copyright, please send a DMCA notice with the following to copyright@symdistro.com:

    1) Your signature; 2) Identification of the work; 3) Identification/URL of the allegedly infringing material; 4) Your contact info; 5) A statement of good-faith belief; and 6) A statement under penalty of perjury that you’re authorized to act. We may forward notices to the user or to third parties involved.


  • Disclaimers

    THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.


  • Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYMPHONIC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST DATA, ARISING FROM OR RELATED TO THE SERVICES OR THIS AGREEMENT. OUR AGGREGATE LIABILITY WILL NOT EXCEED US $50. THIS LIMITATION DOES NOT APPLY TO DAMAGES ARISING FROM SYMPHONIC’S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR BREACH OF CONFIDENTIALITY. SOME JURISDICTIONS DON’T ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS; SOME OF THE ABOVE MAY NOT APPLY.


  • Export; Sanctions; Anti-Corruption

    You agree to comply with applicable export control, sanctions, and anti-corruption laws and represent that you are not prohibited from using the Services under such laws.


  • Governing Law; Venue

    This Agreement is governed by the laws of the State of New York, without regard to conflict-of-laws rules. The state and federal courts located in New York, New York have exclusive jurisdiction and venue.


  • Changes to These Terms

    We may update these Terms from time to time. If we make material changes, we’ll provide notice (e.g., by posting to the Services and/or emailing the address associated with your account, if any). Unless otherwise stated, changes become effective two (2) calendar days after notice is posted or sent. Continued use after the effective date constitutes acceptance.


  • Miscellaneous

    Severability. If any provision is unenforceable, the remainder remains in effect.

    Assignment. You may not assign without our consent; we may assign these Terms.

    No Waiver. A failure to enforce is not a waiver.

    Headings. For convenience only.

    Entire Agreement. This Agreement + Supplemental Terms + policies incorporated by reference are the entire agreement for your use of the Services (Separate Agreements govern your commercial relationship).

  • Enforcement Examples (Transparency)

    To keep the ecosystem clean, we may (without limitation) do any of the following when investigating suspected Improper Activity or violations of these Terms: cooperate with platforms/authorities; suspend or terminate accounts; block content submission; and/or remove content. We make reasonable efforts to investigate suspected activity and, where possible, will notify affected users before permanent action.
